1. Introduction
Welcome to our platform. This Software License & Terms of Use Agreement (“Agreement”) governs your access to and use of our software platform, websites, browser extensions, APIs, dashboards, automation tools, communication systems, analytics modules, lead generation engines, customer relationship management tools, and any related products or services (collectively, the “Services”).
By creating an account, accessing the platform, downloading any extension, connecting an email account, uploading data, or otherwise using the Services, you agree to be legally bound by this Agreement.
If you do not agree, do not use the Services.
2. Definitions
For purposes of this Agreement:
- Company means the owner/operator of the platform.
- User means any person or entity accessing the Services.
- Account means a registered user profile.
- Workspace means an environment created within the platform for business operations.
- License means the limited right to use the Services under this Agreement.
- Content means text, data, templates, files, emails, campaign settings, reports, logs, and user submissions.
- Extension means any browser plugin or downloadable component.
- Automation means scheduled or rule-based processes performed by the platform.
- Lead Data means business contact information collected or uploaded by users.
3. Grant of License
Subject to compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful internal business purposes.
This license does not transfer ownership of the Services or any intellectual property rights.
4. Eligibility
You represent that:
- You are legally capable of entering into contracts.
- You are at least the age of majority in your jurisdiction.
- You are authorized to bind any company you represent.
- Your use of the Services complies with all applicable laws.
5. Account Registration
You may be required to create an account. You agree to provide accurate information, maintain confidentiality, and accept responsibility for all activity under your account. We may suspend accounts for suspected fraud or policy violations.
6. Workspaces
You are responsible for workspace members, permission management, uploaded data, and the compliance of all activities performed within your workspace.
7. Subscription Plans
Services include free and paid plans with varying usage limits, automation volume, storage capacity, and support levels.
8. Billing & Payments
You authorize recurring billing where applicable. Fees and billing cycles are described during checkout. Unless required by law, fees are non-refundable.
9. Acceptable Use
You agree not to violate laws, infringe rights, send spam, harass, upload malware, abuse automation, or scrape data unlawfully.
10. Email Compliance
You are responsible for compliance with CAN-SPAM, GDPR, PECR, and CASL. You must ensure recipient consent, accurate identity, and functional unsubscribe methods.
11. Lead Data Responsibility
We do not guarantee the accuracy of third-party data. You are responsible for the lawful use of contacts and campaign obligations in your jurisdiction.
12. Browser Extension License
Extensions are licensed, not sold. You may not reverse engineer, redistribute, or bypass authentication for any provided extension.
13. Automation Systems
Users are responsible for all configurations, keyword filtering, and output review. Company is not liable for undesired results caused by user configuration.
14. API & Integrations
We do not guarantee continuous availability or compatibility with third-party integrations.
15. User Content
You retain rights to your content but grant Company a limited license to host and process it solely to provide the Services.
16. Intellectual Property
All Services, branding, and systems remain the proprietary property of Company or its licensors.
17. Restrictions
You may not copy, clone, sublicense, or build competing products based on our proprietary technical systems.
18. Privacy
Data processing is governed by our Privacy Policy. Mandatory local law controls in the event of conflict.
19. Security
We implement safeguards, but you must maintain strong passwords and monitor connected account activities.
20. Data Storage & Retention
We may delete dormant or excess data per plan limits. Users are encouraged to maintain their own independent backups.
21. Service Availability
Downtime may occur due to maintenance, network issues, or third-party outages. We do not guarantee uninterrupted availability.
22. Beta Features
Beta features are experimental and may malfunction or be discontinued at any time without prior notice.
23. AI Features
AI outputs are suggestions. You remain responsible for reviewing all text, targeting, and summaries before deployment.
24. Usage Limits
Limits on sends, storage, and processing volume are strictly enforced based on your subscription tier.
25. Suspension & Termination
We may terminate access for policy violations, security risks, fraud, nonpayment, or legal requests.
26. Effect of Termination
Upon termination, the license ends immediately and access to account data may be permanently restricted.
27. Disclaimers
Services are provided “as is.” We disclaim all warranties including merchantability, reliability, and fitness for a particular purpose.
28. Limitation of Liability
Company shall not be liable for indirect, incidental, or business interruption damages. Total liability is limited to fees paid.
29. Indemnification
You agree to defend and indemnify Company from claims arising from your content, campaigns, or breach of this Agreement.
30. Compliance Requests
We respond to lawful requests from authorities and regulators as required by legal protocols.
31. Export Controls
Users must comply with all applicable export controls and international sanctions laws.
32. Changes to Services
We may modify, suspend, or discontinue any feature at our sole discretion at any time.
33. Changes to Agreement
Continued use of Services after updates constitutes acceptance of the modified Agreement.
34. Governing Law
This Agreement is governed by designated laws subject to mandatory consumer protections.
35. Dispute Resolution
Disputes shall be resolved through negotiation or legal channels as specified by the Company.
36. Entire Agreement
This document forms the complete agreement between the User and the Company regarding Service usage.
37. Severability
If any provision is found unenforceable, the remainder of the Agreement remains in full effect.
38. No Waiver
Failure to enforce a right does not constitute a legal waiver of that right.
39. Assignment
Company may assign this Agreement in connection with mergers or acquisitions.

Supplemental Technical Terms
Platform includes Dashboards, Email systems, Analytics, CRM workspaces, Browser agents, Automation blueprints, JSON imports, SMTP connectors, IMAP sync, and AI assistants. All remain subject to this Agreement.
